Terms of Service

1. Scope & Agreement

These Terms of Service ("Terms") govern your use of the DXSoft platform ("Service"), operated by DXSoft ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

The Service is a multi-tenant SaaS platform designed for Shopify app developers ("Partners") to manage their apps, shops, support, knowledge base, automations, and analytics.

2. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • You must be at least 18 years of age to create an account.
  • You must provide a valid email address and keep it up to date.
  • You are responsible for all actions taken through your account.
  • You agree to notify us immediately of any unauthorized use of your account.

3. Subscription Plans & Billing

The Service offers multiple subscription plans (Free, Starter, Pro, Enterprise) with different feature sets and usage limits. Paid plans are billed monthly or annually through our payment processor Stripe.

  • Free Plan: Limited features, no payment required.
  • Trial: New accounts may receive a 14-day trial of the Pro plan. No credit card required. After the trial ends, accounts are automatically downgraded to the Free plan.
  • Upgrades: Plan upgrades take effect immediately. Charges are prorated.
  • Downgrades: Plan downgrades take effect at the end of the current billing period.
  • Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period.
  • Failed Payments: If a payment fails, you have a 7-day grace period to update your payment method. After that, your account may be suspended.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload malicious code, viruses, or other harmful content.
  • Use the Service to send unsolicited communications (spam).
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or redistribute the Service without prior written consent.

5. Data Ownership & Intellectual Property

You retain all rights to the data you upload or create through the Service ("Your Data"). We do not claim ownership of Your Data. We may use anonymized, aggregated data for service improvement and analytics.

The Service, including its design, code, documentation, and branding, is owned by DXSoft and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

6. AI Agent & Automated Features

The Service includes an AI-powered chat agent that assists your end-customers with support queries. The AI agent operates based on your knowledge base, configuration, and instructions.

  • AI responses are generated automatically and may not always be accurate.
  • You are responsible for reviewing and configuring the AI agent's behavior.
  • We are not liable for actions taken by end-customers based on AI responses.
  • AI conversation data is processed according to our Privacy Policy.

7. Service Level & Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform maintenance that temporarily affects availability. We will make reasonable efforts to provide advance notice of scheduled maintenance.

8. Limitation of Liability

To the maximum extent permitted by applicable law, DXSoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action.

Our total liability arising out of or relating to these Terms shall not exceed the amounts paid by you to DXSoft in the twelve (12) months preceding the claim.

9. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in activities that harm the Service or other users. Upon termination:

  • Your access to the Service will be immediately revoked.
  • You may request an export of Your Data within 30 days of termination.
  • After 30 days, Your Data may be permanently deleted.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Berlin, Germany.
